Registration:

You are required to register and provide accurate, specific information about yourself and your business in order to use our services. This is for your protection as well as our other members. We will respect the sensitive nature of such data, but it is imperative that we understand whom we are doing business with and how you will sell and market our product line. Please see our privacy policy for more information.

Area of Service:

We will ship to any US destination serviced by USPS or UPS except for APO and FPO’s (due to the 9/11 USPS regulations). We also ship internationally if certain qualifications are met, which may include membership type, order size, destination country and specific product.

Term:

You may discontinue doing business or cancel your membership at anytime. Your obligation for membership dues (if applicable) will discontinue at the end of the current billing cycle. EZdropshipper also reserves the right to suspend or cancel service at any time. The terms of this agreement will stay in effect indefinitely for all intellectual property, products, and services used or purchased.

Fees:

The fees for our services and products are displayed throughout our website and are always clearly indicated during the “Check Out” process.

Changes:

We reserve the right to post changes to fees for products or services at anytime. We also reserve the right to correct typographical errors without honoring the error. Such changes will become effective immediately unless otherwise indicated.

EZshopcart.com is operated by a third party. Please see the EZshopcart.com website for details on how you can get a preloaded “As Seen On TV” site today. Content service is not required. EZdropshipper.com provides a Free data feed to clients of EZshopcart.com.

Shipping and Handling:

The cost for shipping and handling is detailed in our online “Wholesale Price list” and is summarized upon checkout. Drop Ship Orders valued at less than $300 will ship under a flat rate all domestic zones shipping plan – see shipping chart for details.

Finance charges:

A finance charge equal to the lesser of: (A.) one and one-half percent (1.5%) per month or (B.) the maximum amount permitted by applicable law, shall be payable on all past-due balances.

Returned checks:

Checks returned for any reason will result in a service charge of $30.00. Please note that it is a felony in most states to write a bad check, including when issued verbally, online or by fax. EZdropshipper.com will prosecute any person engaging in fraudulent activity to the full extent allowed by law.

Premium or Content Service Cancellations:

Re-occurring monthly dues are billed on about the 1st of every month. Memberships maybe cancelled at any time. Once you have cancelled a membership you will no longer be billed. You will not be entitled to a refund for services already used nor will you receive any prorated refund for the current billing cycle. For example, if your dues were paid on the 1st of the month and you cancel on the 15th of that month, we will not be refunding you for the 15 remaining days in the billing cycle, we will simply cancel your membership effective on the last day of that month.

Order Cancellations:

Once an order is placed and begins the fulfillment process, it becomes difficult to cancel. Should you need to cancel an order prior to shipment we will do our best to stop it. However, if we are unable to stop it from shipping then it must go through the return policy and procedures. Special orders may not be cancelled. To attempt a cancellation please call us immediately and/or e-mail us. The order should not be considered cancel until we have acknowledged they we were able to stop the shipment. Again, there is no guarantee cancellation once the order is submitted!

Service Refunds in General:

Any claims for service refunds or financial adjustments to your account must be submitted in writing within 60 days of the date such charges were placed on your account.

Product Returns in General: The following applies to the “As Seen On TV” Product line, other lines will either post a specific returns policy or follow this policy, please note some products have specific policies which can be found in the “Fast Facts” section of the item description.

Our Return Policies are based on the product, order type, value and destination. EZdropshipper.com reserves the right to choose and administer the correct return policy for your order.

Shipping & Handling: All returns must be sent to us prepaid, ALL Shipping and Handling charges are an expense paid to a third party and are NON-Refundable.

Drop Ship Returns typically small orders less then $300.

Exceptions: EXCHANGES ONLY on tapes, videos, DVD's, CD's and video games. Some items may have special return policies. Such policies will be indicated in the "Fast Facts" section of the product’s online listing. Incomplete product will not

Must be a drop ship order being sent to a consumer.

Obtaining an RMA:

If the original order value was less then $300 and was a drop ship order then you may obtain an RMA online once you have logged in under “My Account” link. Obtaining an RMA does not guarantee the return will be exchanged or refunded. We reserve the right to inspect and determine the policy which applies at the time of arrival to our warehouse. NOTE: All returns must have a valid RMA on the label or our warehouse will refuse the package.

Shipping Damage:

If you receive an item that is broke due to shipping damage or some other event prior to its arrival. You MUST make a claim within three (3) Business days. If the claim is made within three business days we will issue you a prepaid label for you to return the product and will send you a replacement at no additional cost upon receiving the returned item. If you are in need of the product quickly, you may elect to have us send the replacement in advance along with the prepaid return shipping label. If this option is elected you will be charged for the entire cost of sending you the replacement in advance, this charge will be refunded once we have received the return product. In some cases we may instruct you to hold the product for inspection and pickup by the Carrier, such as UPS. In other cases you be instructed to bring the product labeled with our prepaid return shipping label to the nearest UPS Store or Post Office for drop off. If the item is returned but determined that it was damaged after its delivery and not prior to its delivery, then the standard return policy will be applied and all of the additional cost will be at your expense. We reserve the right to be the sole determining party as it relates to this policy. If the claim is not made within three business days, our standard Return Policy and Procedure will apply.

Returns for: International drop ship orders (not currently offered)

To qualify the order must be a drop ship order being sent to a consumer internationally. This policy is NOT valid for orders intended for resale bulk purchases or for orders shipped within the USA. You will be responsible for all inbound and outbound shipping and handling cost including any brokerage fees, taxes, or duties

Bulk Order Returns Typically orders valued in excess of $300 or order containing inner case, case or pallet quantities.

75 Day Cycle: 60/15

Time to request an RMA 60 days from delivery date to request /issue RMA, 15 days from RMA issue date to return the product to our warehouse.

Types of returns accepted: Defects only We do not offer consignment or guaranteed sale and therefore we will not accept merchandise you have failed to sell for any reason. To avoid such problems we offer you the privilege of ordering in small quantities, so there is no need to overstock.

Note: There may sometimes be special return circumstances that will warrant a refund (with management approval). On these special approved refund returns, we will charge a minimum of a 20% restocking fee.

Returns for International Bulk Orders:

You will be responsible for all inbound and outbound shipping and handling cost including any brokerage fees, taxes, or duties.

Payment Terms:

EZdropshipper.com will collect payment information from you during the account setup. By providing such payment methods to EZdropshipper.com, you are authorizing EZdropshipper.com to charge you by using the supplied method(s) of payment as fees are due.

When and How We Charge:

We will obtain a credit card authorization only (if applicable) when we receive your order. We will actually charge the card when the order is shipped. If you place a special order or place an order requiring shipment from a vendor’s warehouse, we will charge your credit card when the order is placed. We charge for reoccurring monthly dues if applicable on or about the 1st of every month.

Forms of Payment:

We accept PayPal, Check, Wire, Credit, and Debit Cards drawn on Banks located within the USA provided the account holders also reside within the USA.

Discounts:

From time to time we may offer discounts thru special promotion. Premium Service members receive a 1% discount off all product purchased at the single unit wholesale list price. The discount does not apply to Services, Up-sell Product offers or product which has already been discounted thru a promotion, special price offer, or liquidation. Discounts, free trials and promos are limited to one use per person, business or entity.

International Transactions:

Typically we will require bank wire or cleared cashiers check. Wire funds require a $10.00 incoming bank wire fee. We do offer Credit Card processing to certain international transactions as determined by our International Sales Department.

Extended Terms:

We typically do not provide extended terms. However we will consider terms for large Brick and Mortar retailers. See “Fee Schedule” for potential finance charges. Should you take advantage of any such terms you herby agree to reimburse EZdroshipper.com for all collection cost, including but not limited to attorney fees, court cost, and related travel expenses. All funds are payable in US Dollars. If paid in any other currency you will be responsible for any exchange fees charge by the bank or credit card processing companies.

User Conduct:

You agree to comply with all applicable laws, statutes, ordinances, and regulations related to use of our Products and Services. You may not use our Products or Services to engage in fraud or other illegal activity, or to infringe the intellectual property rights of others.

You agree that in the event we have shipped you merchandise in error that you will let us know and make the necessary provisions for us to pick it up.

You agree in consideration of the services provided by EZdropshipper.com including but not limited to the advertising allowance contributed by the manufacturers/vendors to generate the wholesale pricing offered that you will follow the manufacturers minimum advertised pricing (MAP) policy when reselling their product. If a policy exists, then the guidelines will be found in the “Fast Facts” sections of that item.

You agree that you will resale the product only in the distribution channels allowed for that product. For example, some items may be restricted from EBAY selling. Restrictions may be found in the “Fast Facts” sections of every item.

You agree not to use Credit Card chargeback’s as a means to receive merchandise at no cost. In addition, you agree not use the chargeback system as means to settle disputes but instead will work with us to find a reasonable solution or use a 3rd party mediator such as the Better Business Bureau. All fees incurred for chargeback’s will be placed in to collections.

You agree that you will not willfully or maliciously interfere with the proper working of the Site. This shall include any action which would place an unreasonable burden on our infrastructure or limit our ability to provide service to other clients.

Content:

All content included or available on our Site(s) and thru the content service such as images, text, logos, advertisements, graphics, video clips, audio clips and programming code, is the property of EZdropshipper.com and/or third parties, and is protected by copyrights, trademarks or other intellectual and proprietary rights. The compilation (meaning the collection, arrangement, and assembly) of all content on the Site is the exclusive property of EZdropshipper.com and/or its licensors, vendors and is protected by copyrights or other intellectual and proprietary rights.

Limited License:

Subject to the terms and conditions of this Agreement, EZdropshipper.com grants a limited license to its members to make personal use of the Web Site and the Services for their intended purposes. Images, descriptions, and video’s are intended only for demonstration and the aid in reselling product directly purchased from EZdropshipper.com. The materials provided on the site or thru the content service is not intended for broadcasting or national print ads. This license expressly excludes any resale of the Site or our Services. This license expressly excludes the collection and use of other users' email addresses or other materials (for example, advertisements), or any data extraction or data mining without the express written consent of the owner of such materials.

Retention of Rights:

EZdropshipper.com retains all right, title, and interest in and to its trademarks, service marks and trade names worldwide (collectively, the "Marks"). You shall only use EZdropshipper.com's Marks with the express written permission of EZdropshipper.com and then only in the manner authorized. Under no circumstances may you alter, modify, or change EZdropshipper.com's Marks.

Our Commitment to Privacy:

We realize how sensitive your privacy can be and we are committed to assisting in its protection To better protect your privacy we have posted this policy which details how we handle your information. We feel informing you will give you the greatest control and choice. This notice is contained within our Terms of Agreement which must be reviewed prior to registration and is provided thru the “privacy policy” links located thru-out the website.

The Information We Collect:

When you register on our site, we ask you for personal information. The required personal information we collect is: your Name, Billing address, Credit Card data, Email address, Phone number as well as a password. We may also ask you for additional information such as how you heard of us, how you plan to resell the product, your birth month and year, your website URL and your fax (if applicable). If you are entering an order to be drop shipped you will be required to submit information about your customer. The type of personal information collected in this case would be: Name, Shipping Address, and if shipping is for an international destination it will require the receiver’s telephone number.

How We Use Information:

We use this information to create your orders and to communicate with you about their status. We will also use your email address to send you notification and updates about our services or products as well as promotional announcements and customer surveys. Occasionally, we send information via postal mail, using the billing address provided. If you no longer want to receive the updates or other announcements simply unsubscribe by checking the unsubscribe links. Please be sure to include postmaster@EZdropshipper.com on your friendly email list.

Communications by Email:

We will communicate with email to inform you of your order status. Such communications may include when an order is received, when an order is shipped and when an order is cancelled. The following types of communications - information on products, services, special deals, and updates - will also be emailed to members unless you choose the option not receive them. Every email of this nature sent has a link at the bottom which you may you use to unsubscribe or option out. If you would like to receive information on special offers provided by affiliates or partners you may do so by optioning in. You will not receive these type of emails unless you choose to do so, if you have chosen to do so you may option out by clicking the unsubscribe link within the email. You will also need to unsubscribe on our website under the ‘my account link or email your partner unsubscribe request to customer service at CS@EZdropshipper.com.

Communications by Phone:

We may call you on occasion to communicate important information about your membership or an order. We may periodically contact you for the purposes of improving our services, or to offer assistance, or request a survey, or to inform you of a special promotion.

Cookies:

A cookie is a piece of data stored on the user's computer. As with most sites we use cookies to control certain aspects of our sites operation such as holding the contents of the shopping cart in place or allowing a user the ability to move from page to page with out logging into each page individually. Usage of a cookie will not link or extract any of your personal information while on our site. We use session ID cookies and persistent cookies. A session ID cookie terminates once a user closes the browser. A persistent cookie will remain on the users’ computer for a period of time. Log Files:

log files are simply a method of tracking how visitors to our site use our site. Most all sites create log files and there are important programming tool in improving the site. The information that is logged includes Internet protocol (IP) addresses, browser type, Internet service provider (ISP), referring/exit pages, platform type, date/time stamp, pages viewed, duration of visit, Cart abandonment, IP addresses and similar statistics.

Third Party Data Sharing:

On an occasion when an order requires shipment from a third party we may use some of your personal information as required to complete the fulfillment process. We do not share this information with outside parties except to the extent necessary to complete that order. If you have chosen to “option in” to partner offers then we may at times release information to third party partners for the purpose marketing special offers we feel may benefit our members. This information generally only includes customer name, phone number, and e-mail address. We will make every effort to protect your privacy, however we may need to disclose personal information when required by law when in good-faith we believe that such action is necessary to comply with a current jjudicial proceeding, a court order or legal process served on our website.

Third Party Intermediaries:

We use outside shipping companies (UPS, USPS and others) to ship orders, and a credit card processing company to bill users for goods and services. These companies do not retain, share, store or use personally identifiable information for any secondary purposes

Our Web site contains links to other sites. The privacy policy for those sites may be completely different then policy of EZdropshipper.com. We encourage our users to be aware when they leave our site and to read the privacy statements of each and every Web site that collects personally identifiable information. Supplementation of Information:

In order for this Web site to properly fulfill its obligation to users it is necessary for us to supplement the information we receive with information from 3rd party sources. We use third party software to verify addresses against the United States Postal Service database. We also use a credit card processing company to verify a user's identity and address to confirm that they are using the card in a non-fraudulent manner.

Children’s Privacy:

We do not knowingly accept data from anyone under the age of 13 and no part of our website is structured with the intention of attracting anyone under 13.

Secure Facility:

Security is very important us. For this reason we have chosen to secure our data on dedicated server(s) within a facility that is used to house the data of major corporations and governmental agencies. This provides an environment that would be difficult for us to duplicate within our own facilities. We have made this investment to provide our customers with the best protection available. OUR ENTIRE LIABILITY MAY NOT EXCEED THE COST OF THE GOODS AND SERVICES WE HAVE PROVIDED.

Indemnity:

You hereby agree to, at your expense to indemnify, defend and hold EZDROPSHIPPER.COM and our subsidiaries, affiliates, officers, directors, agents, stakeholders and employees harmless from and against any loss, cost, damage, liability, or expense arising out of or relating to

(a) a third-party claim, action or allegation of infringement, misuse or misappropriation based on information, data, files or other content on the Site;

(b) any fraud, manipulation, or other breach of this Agreement by you;

(c) any third-party claim, action or allegation brought against EZDROPSHIPPER.COM arising out of or relating to a dispute with you over the terms and conditions of an agreement or related to the purchase or sale of any goods or services;

(d) your violation of any law or the rights of a third party; or

(e) your use, or EZDROPSHIPPER.COM's provision, of the Services or use of your account by any third party. EZDROPSHIPPER.COM will have the right to participate in its defense and hire counsel of its choice, at your expense. You will not settle any action or claims on EZDROPSHIPPER.COM's behalf without the prior written consent of EZDROPSHIPPER.COM.

Notices:

EZDROPSHIPPER.COM shall provide notice to you via email to the email address you provided in your registration process. Such notice shall be deemed given 24 hours after it is sent. Alternatively, EZDROPSHIPPER.COM may choose to provide notice to you via certified or registered mail to the mailing address you provide in your registration information. In such case, notice shall be deemed given 3 days after the date of mailing. You shall provide notice to EZDROPSHIPPER.COM via email to legal@ezdropshipper.com.

Termination:

Notwithstanding the notice provision above, you may terminate this Agreement at any time by notifying EZdropshipper.com via email at CS@EZdropshipper.com. You will receive a confirmation of termination by E-mail, if you do not, please call EZdropshipper.com via telephone during normal business hours to confirm the termination. If you were registered for any paid services, your last bill from EZdropshipper.com will be for the month in which you have cancelled the service. EZdropshipper.com, in its sole discretion, may terminate or suspend this Agreement and limit your access to the Site or the Services immediately without notice for any reason including, without limitation, for your infringement of the intellectual property rights of others. All provisions of this Agreement that by their nature should survive termination shall survive termination, including, without limitation, provisions related to intellectual property, warranty disclaimers, general releases, limitations of liability, indemnity, and the general provisions.

General:

This Agreement is not assignable, transferable and may not be sub-licensed without the prior written consent of EZdropshipper.com.

EZdropshipper.com may assign this Agreement in whole or in part. This Agreement shall be governed by and construed in accordance with the laws of the state of Florida. The sole jurisdiction and venue for actions related to the subject matter hereof shall be the Florida State and U.S. federal courts having the jurisdiction of EZdropshipper.com's principal place of business. In any action or proceeding to enforce rights under this Agreement, the prevailing party will be entitled to recover costs and attorneys' fees. If any provision of this Agreement is held by a court of competent jurisdiction to be illegal, invalid, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect.

Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches.

This Agreement sets forth the entire understanding and agreement between you and EZdropshpper.com, with respect to the subject matter hereof. You agree and acknowledge that you are not entering into this agreement in reliance on any statements or representations other than those set forth herein. Should any term or condition be in conflict between this Agreement and any document incorporated by reference into this Agreement, the terms of this Agreement shall be the controlling document.
